Proposed changes to the Royal Charter and Bye Laws

Following the Extraordinary General Meeting which took place on 4 July 2012 to consider the changes to the Institute's Royal Charter and Bye Laws, a ballot of all corporate members on the proposed changes took place, with the deadine for voting being Monday 6 August 2012.

The changes were approved by around 94% of those who voted. On the basis of this, our lawyers wrote on 7 August 2012 to the Privy Council with a formal submission of the changes for their consent. The proposed transitional arrangements took effect - there was an election for a Board Chair for 2013 and 2014 in the autumn of 2012, in tandem with the usual annual elections to the Board and General Assembly. Andrew Taylor was elected as the Board Chair.

Background

A comprehensive review of the Institute's Charter, Bye Laws and Regulations highlighted the need to bring greater clarity and change to the way we do some things, and to better reflect the challenges and the agenda facing the organisation. It also provided a welcome opportunity to encourage more members to get involved in the governance of the Institute. A key change involves the separation of the roles of Senior Vice President and Chair of the RTPI Board of Trustees with a distinct election path and term of office for both.

All the proposals for change are intended to maximise member engagement and ownership of the Institute. We need to ensure, at regular intervals, that our governance arrangements are fit for purpose and continue to comply with the requirements of being a charity, which means they need to be as clear, effective and inclusive as possible.

The plans to update the Charter and Bye Laws followed widespread consultation with members and the RTPI's General Assembly. The Institute has also taken legal advice through our lawyers, Bates Wells and Braithwaite. The Trustees will have responsibility for updating the Regulations to reflect the changes and have been working with General Assembly on this.
